Creator agreement
The short version
You share Brilho Brasileiro. We send you a bottle, give you a code and a link, and pay you a share of what your people buy. Either of us can stop at any time. Everything below is the detail.
This agreement is between you and Aumenta, Inc., a Delaware corporation (“Aumenta”, “we”, “us”). It starts on the day you accept it.
1. What we give you
We send you one bottle of Brilho Brasileiro at no cost, and it is yours to keep whether or not you ever post about it. We also give you a personal discount code and tracking link. Your code gives your audience 10% off.
2. What you earn
You earn 25% of the pre-discount product total on every bottle bought through your code or link, for every bottle in our foundational batch — the first 1,000 bottles sold through creator codes, counted across all creators together, not per creator. After that, the rate becomes 10%, and it continues for as long as you keep sharing.
The change from 25% to 10% is automatic and is not negotiable. It is not a penalty and it is not personal; it applies to everyone at the same moment. We will tell you before the rate changes.
Commission is calculated on product value only. It excludes shipping, taxes, and any part of an order that is refunded.
3. When you get paid
Payouts run monthly, 30 days after the order so returns settle first. We pay balances of $25 or more; anything smaller rolls into the next month.
Payments run through our payments provider, who collects your bank and tax details directly and issues any tax forms required by law. We never see or store those details. You will need to complete their short setup before your first payout. You are responsible for any taxes on what you earn.
If an order is refunded or cancelled, the commission for it is reversed at the rate it was originally earned.
4. Saying it is an ad
Because you are paid for this, anything you post using your code or link is a paid endorsement, and the law requires you to say so clearly and conspicuously. Use #ad or an equally plain disclosure, placed where people actually see it — not buried in a caption or hidden behind “more”.
This one matters to us. If a post is not properly disclosed, we can ask you to fix or take it down. Undisclosed paid posts create liability for Aumenta, so failing to disclose is also grounds for us ending this agreement immediately.
You promise that what you do here follows the law, including the Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising.
5. Being honest about the product
Say what you actually think. If it does not work for you, you are free to say that, and you are free to say nothing at all.
Do not claim Brilho Brasileiro treats, cures, or prevents any medical condition, and do not promise specific results. Describe your own experience.
Anything you say about the product should be your honest opinion and should come from actually having used it. If you describe a result you got, it has to be one you really got.
6. What this agreement does not cover
This agreement is about three things: the bottle we send you, the code and link we give you, and the commission we pay you.
It gives us no rights to your content beyond what’s described below. You keep everything you make. We are not asking for a licence to your posts, your name, your likeness, or your biography, and nothing here lets us reshare your posts on our channels or run them as ads, except that we can keep copies of your posts to show that a disclosure was there, and to defend ourselves if anyone challenges that, or in case a regulator asks.
If we ever want to do any of that, we will ask you, and it will be its own agreement with its own terms. Saying no to it changes nothing about your code, your link, or what you earn here.
The same runs the other way. Our brand, product names, photography and copy stay ours. Naming us and showing the bottle when you share your code is expected and fine — that is the point of this. Anything beyond that, like using our logo or our photography in your own materials, needs our written approval first.
7. Things we tell you in confidence
You may learn things that are not public — unreleased products, launch timing, pricing plans, how the programme works commercially. You promise to keep confidential anything you knew, or reasonably should have known, was not public, and use it only for sharing Brilho.
This does not apply to anything already public through no fault of yours, or that you already knew before we told you.
Notice under 18 U.S.C. §1833(b): you will not be held criminally or civilly liable under any federal or state trade secret law for disclosing a trade secret (1) in confidence to a government official or an attorney, solely to report or investigate a suspected violation of law, or (2) in a filing made under seal in a lawsuit or other proceeding.
8. Buying your own
Orders you place yourself do not earn commission. We check for this, and attempts to work around it end the agreement.
9. What you promise us about your posts
You promise that you are at least 18 years old. You also promise that anything you post under this agreement is yours to post: that it does not infringe anyone’s copyright, trademark, or right of privacy or publicity, that it is not defamatory, and that it does not break the rules of the platform you put it on.
You also promise that your following is real. No bought followers, no bought engagement, and nothing done to inflate your numbers artificially — before or during our work together.
10. Speaking well of each other
Do not publicly disparage Aumenta or the product, and we will not publicly disparage you. Honest criticism is not disparagement: section 5 means what it says, and telling people the oil did not work for you is fine.
11. If something goes wrong
If someone brings a claim against us because of something you did — a post that infringed, an undisclosed ad, a promise we never made — you cover (indemnify us for) our reasonable costs for it. If someone brings a claim against you because of something we did, we cover yours the same way.
Neither of us is liable to the other for indirect, incidental, or consequential losses. Whatever either of us can owe the other under this agreement is limited to the total amount we have paid you under it.
12. Conduct
If you are convicted of a serious crime, or you use your platform for hate speech, harassment, or threats of violence, we can end this agreement immediately. The same applies if you become involved in a situation that brings serious public disrepute to you in a way that would reflect poorly on us.
We are not asking you to be uncontroversial, and we are not policing your politics or your opinions.
13. We are not employing you
You are an independent contractor. Nothing here is intended to, or should be construed to, create a partnership, agency, joint venture or employment relationship between us. You are not authorised to make any representation, contract or commitment on our behalf, and you are not eligible for any employee benefits.
You decide when, where and how you post. Promoting is not part of our regular business of making and selling oil, and you hold yourself out independently to others. This is not exclusive: you may work with whoever you like, including our competitors. Nothing here guarantees you any amount of income.
14. Ending it
Either of us can end this at any time, for any reason, by telling the other in writing.
If one of us breaches this agreement and the breach can be fixed, the other can end it on written notice if it is not fixed within seven days. Email counts as written notice.
We can also pause or switch off your code and link immediately if a post is not disclosed, if a claim is made that we cannot stand behind, or if we see attempts to game attribution.
If it ends, you keep commission already earned on orders that have cleared the 30-day window. Codes stop working straight away. Sections 3, 6, 7, 9, 10, 11, 13 and 15 survive. Section 6 surviving matters: ending this agreement does not hand us content rights either.
15. The plain legal bits
This agreement is personal to you. You may not assign or transfer it, or your code or link, without our written consent, and any attempt to do so is void. We may assign it in connection with a merger, acquisition or sale of assets.
We may change these terms; if we do, we will tell you, and the change applies only to sales made after we tell you, never retroactively.
Notices go by email to the address you applied with, or to daryo@tryaumenta.com for us, and are effective when sent — unless the sender gets an automated non-delivery message, in which case they are not.
If any provision is held illegal, invalid or unenforceable, the rest stands. A waiver of one breach is not a waiver of any other. This is the entire agreement between us about the creator programme and supersedes any earlier discussions about it.
This agreement is governed by the laws of the State of New York, without regard to its conflicts or choice of law provisions. If we end up in a dispute, both of us agree to the exclusive personal jurisdiction of the state and federal courts in the Borough of Manhattan, New York City, New York.
